Statement

Milan – Generali confirms the submission of a response to Mediobanca - Banca di Credito Finanziario S.p.A. following the receipt of a letter which included certain additional information regarding the proposed voluntary tender offer for all shares of Banca Generali S.p.A, in particular proposing a framework in relation to the potential future industrial relationship between Generali Group and Mediobanca Group.

As previously announced on 12^th June 2025, Generali confirms its intention to pursue the evaluation of the Offer and discussions on these matters. At this stage, Generali reserves the right to continue evaluating the Offer and the potential Industrial Partnership over the upcoming weeks in full compliance with the Group’s processes, procedures and schedule defined by its internal corporate governance bodies before forming a definitive view.
