The Board of Statutory Auditors is responsible for ensuring compliance with the applicable laws and regulations and the articles of association as well as management control.
The Board of Statutory Auditors in office was appointed by the 2023 Shareholders' Meeting on the basis of lists of candidates in compliance with the laws and regulations in force, as well as with the Articles of Association, and will be in office until the shareholders' meeting to approve the financial statements for the 2025 financial year.
The Board of Statutory Auditors has the power to supervise the independence of the external auditors, with the obligation to verify compliance with the relevant regulatory provisions and the nature and extent of the services other than accounting audits provided to Generali and its subsidiaries.
Composition of the board
In accordance with the provisions of the list voting system, the Board is made up of three permanent and two substitute auditors, who can be re-elected: the chair and one substitute auditor were elected from the minority list. The Statutory Auditors meet the requirements established by current legislation and by the Corporate Governance Code, as implemented by the internal regulations of the Company.
All auditors, both permanent and substitute, must possess the necessary requisites established by law. Those who find themselves in situations of incompatibility established by law or who exceed the limits on the accumulation of offices established by current legislation cannot be appointed as statutory auditors and, if elected, are forfeited from office.
The composition of the Board of Statutory Auditors complies with the gender balance criteria established by current legislation.
