Assicurazioni Generali was founded on 26 December 1831 and its Memorandum of
Association includes the first version of its Articles of Association.
The Company’s Articles of Association have often been changed by resolutions
adopted by the relevant governing bodies.
In June 2007, the Company’s Extraordinary Shareholders’ Meeting approved important
changes to adapt its Articles of Association to the legislation introduced by
Law no. 262/2005 on Savings protection, as amended by the Issuers Regulation and
the so-called Market Regulation.
In this context, further changes were necessary to implement ISVAP guidelines
to Italian mixed insurance companies (i.e. those involved in Life and non-Life
business), and other changes were made to further improve the Company’s management
flexibility in the light of the recommendations provided by the Code of Conduct
of Listed Companies.
